Terms and Conditions
- Introduction
- Bookings for Certificate Programmes, and both the College’s and Your rights and obligations in relation to such Bookings, are governed by these terms and conditions.
- You will be asked to give Your express agreement to these terms and conditions before You submit an application for a Certificate Programme.
- Any statutory rights that You may have as a consumer are not affected by these terms and conditions.
- You can find everything You need to know about the College, and the Certificate Programmes on our Website before You apply for a Certificate Programme.
- Interpretation
- In these terms and conditions:
- “Academic Institution” means any institution who provides Participants for Certificate Programmes;
- “Booking” means a booking in respect of a Certificate Programme, which may be made by You under these terms and conditions;
- “Certificate Programme” mean a non-degree teaching programme offered by the College;
- “Certificate Programme Premises” means Worcester College, Walton Street, Oxford OX1 2HB and/or other premises in Oxford where the Certificate Programme is provided;
- “Certificate Programme Start Date” means the date a Certificate Programme commences;
- “College” means Worcester College, University of Oxford, a charity, with registered charity number 1143479 and address at Walton Street, Oxford OX1 2HB;
- “Course Fee” means the fees payable to participate in the Certificate Programme, excluding the Registration Fee;
- “Handbook” means the Certificate Programmes Participant Handbook from time to time in force, a copy of which is available on the Website;
- “Force Majeure Event” means an event that is, or a series of related events that are, beyond our reasonable control;
- “Programme Agreement” means a contract between (1) the College and (2) You for the provision of a Certificate Programme by the College to You;
- “Registration Fee” means the fee payable to register and apply for a Certificate Programme;
- “Participant” means an individual who participates in a Certificate Programme that You have booked as a participant;
- “Website” means the website found at www.oxford-certificate-programmes.com which provides details of the Certificate Programmes; and
- “You” means either a Participant, an Academic Institution or the parent(s)/guardian(s) of a Participant who are our customer or prospective customer under these terms and conditions (and “Your” should be construed accordingly.
- Order process
- The advertising of Certificate Programmes on the Website constitutes an “invitation to treat” rather than a contractual offer.
- No contract will come into force between You and the College unless and until the College accepts Your order in accordance with the procedure set out in this Clause 3 or by email .
- To make a booking for a Certificate Programme through the Website, the following steps must be taken:
- You must click “apply” in relation to the relevant Certificate Programme;
- You must fill in an application form for the relevant Certificate Programme and consent to these terms and conditions;
- You must then pay a Registration Fee (by bank transfer to the bank account nominated by the College or by card payment. All bank charges or banking fees for the transfer must be paid by You);
- You will be sent an initial acknowledgement email; and
- You will then either be sent an acceptance letter confirming Your place on the Certificate Programme (at which point Your order will become a binding contract with the College and the Registration Fee becomes non-refundable) or an email confirming that the College is unable to accept Your application (and Your Registration Fee will be refunded).
- You warrant and guarantee that where You are making a booking for a Certificate Programme on behalf of other persons, you have their authority, and where they are under 18 years of age, the authority of their parents or guardians to enter into a Programme Agreement.
- You acknowledge that, if the Participant is under 18 years of age, then during the Certificate Programme, the College will have care for the Participant during the Certificate Programme and may do what is reasonable in all the circumstances for the purpose of safeguarding or promoting the Participant’s welfare. The College takes its safeguarding responsibilities seriously, it has safeguarding policies in place and these can be found on the Website or in the Handbook.
- By entering into a Programme Agreement, You accept the College’s safety and disciplinary procedures and accept the authority of the College’s staff, representatives, suppliers and agents. An overview of the applicable College’s disciplinary procedures, safety arrangements, child protection, risk assessments and staff qualifications can be found on the Website or in the Handbook.
- Fees
- The fees for the Certificate Programmes are quoted on the Website (unless agreed otherwise in writing with You). They comprise the Registration Fee and the Course Fees.
- The College reserves the right from time to time to change Course Fees and the Registration Fee and adjust fees due to correct any mistake or compensate for another event outside the College’s control.
- All amounts stated in these terms and conditions or on the Website are stated inclusive of VAT payable.
- Payments
- You must pay the Registration Fee when applying for a place on the relevant Certificate Programme.
- Subject to Clause 3, You must pay the Course Fees upon receiving the acceptance letter confirming Your place on the Certificate Programme.
- If You apply for a place on a Certificate Programme within 90 days of the Certificate Programme Start Date, then You must pay the Registration Fee and the Course Fees when making Your application for a place on such Certificate Programme.
- Payments may be made by card payment or bank transfer as agreed by the College. All bank charges or banking fees applicable to such payments must be paid for by You.
- Variation of Booking
- Subject to Clause 2 below, if You would like to change Your Booking in any way, You should contact the College by email to: enquiries.cpc@worc.ox.ac.uk to discuss Your requested changes. The College reserves the right to accept or reject any changes You may request.
- If You would like to switch to another Certificate Programme taking place on the same dates as the Certificate Programme You have booked or to another class on the same Certificate Programme, You may request a transfer to such Certificate Programme or class at any time up to one month before the Certificate Programme Start Date by emailing cpc@worc.ox.ac.uk. Whilst the College will try to meet such requests, it has no obligation to do so. An administration fee of £100 may apply. In addition, if the requested Certificate Programme or class has higher fees than the original Certificate Programme or class that You were booked on, then You must pay the difference before the transfer can be confirmed. If the requested Certificate Programme or class has lower fees than the original Certificate Programme or class that You were booked on, then no refunds will be made. No transfer requests will be accepted if made within one month of the Certificate Programme Start Date.
- Without prejudice to any other clause of this Contract, the College may at any time change the time and date, content and/or location of a Certificate Programme without prior notice.
- Cancellation of Certificate Programmes by the College
- The College reserves the right to cancel Certificate Programmes due to insufficient demand, the effects of contagious disease, or events beyond the College’s reasonable control. Where such cancellation does not fall within the circumstances provided for in Clauses 14 and 20, the College shall refund to You the Registration Fee and any Course Fees paid.
- The College may, in its sole discretion, decide to postpone the Certificate Programme due to the effects of COVID-19 or other contagious disease or events beyond the College’s reasonable control by up to twelve (12) months. In these circumstances the College shall be entitled to retain any fees paid by You and credit them against the fees for the postponed Certificate Programme.
- The College may, in its sole discretion, due to the effects of COVID-19, other contagious disease or public health situation, deliver some or all of the academic, extra-curricular, and social content of the Certificate Programme, via an online medium.
- Cancellation of Programme Agreements by You
- Any rights You may have under this Clause 8 are additional to Your statutory rights, including those set out in Clause 9.
- You may cancel Your Programme Agreement:
- More than 120 days before the Certificate Programme Start Date, in which case You will be entitled to a refund of 100% of the Course Fees in GBP, less any credit card or other banking or transfer charges and other similar expenses incurred by the College and an administration charge of £100;
- Between 120 and 91 days before the Certificate Programme Start Date, in which case You will be entitled to a refund of 50% of the Course Fees in GBP, less any credit card or other banking or transfer charges and other similar expenses incurred by the College and an administration charge of £100;
- Between 90 and 60 days before the Certificate Programme Start Date, in which case You will be entitled to a refund of 25% of the Course Fees in GBP, less any credit card or other banking or transfer charges and other similar expenses incurred by the College and an administration charge of £100; and
- Less than 60 days before the Certificate Programme Start Date, however You will not be entitled to any refund of fees paid if You cancel in this period.
- For the avoidance of doubt, the Registration Fee is non-refundable in the event that You cancel a Programme Agreement under this Clause 8.
- In order to cancel a Programme Agreement under this Clause 8, You must send to the College a written notice of cancellation in clear and legible English by email to: enquiries.cpc@worc.ox.ac.uk, or by post to: Certificate Programmes, Worcester College, Walton Street, Oxford OX1 2HB United Kingdom.
- Any cancellation under this Clause 8 shall be effective only upon the College’s receipt of Your written notice of cancellation.
- For the avoidance of doubt, You cannot postpone Your Booking for a Certificate Programme or carry forward fees already paid to another Certificate Programme taking place at a later date.
- Save as provided in this Clause 8, specified elsewhere in these terms and conditions or mandated by law, You will not receive any refund upon the cancellation of a Programme Agreement.
- For the avoidance of doubt, no refund of the fees You have paid will be made in the event that the Participant falls ill either before or during the Certificate Programme and can no longer attend the whole or any part of the Certificate Programme. You are reminded that it is a condition of the Programme Agreement that the Participant is covered by travel insurance and it is this that You should look to if the Participant falls ill and can no longer attend the whole or any part of the Certificate Programme.
- You may not transfer the Participant’s place on a Certificate Programme to another person and any requests to apply sums already paid against the account of sums owed by another Certificate Programme participant will be refused.
- Distance contracts: cancellation right
- This Clause 9 applies if and only if You offer to contract with the College, or contract with the College, as a consumer – that is, as an individual acting wholly or mainly outside Your trade, business, craft or profession.
- You have 14 days after the date the College accepts Your application for a Certificate Programme to cancel Your Programme Agreement (the Cancellation Period).
- If You wish to cancel Your Programme Agreement during the Cancellation Period, You must send a clear written statement expressing Your wish to cancel the Contract to the College:
- by email: enquiries.cpc@worc.ox.ac.uk; or
- by post: Certificate Programmes, Worcester College, Walton Street, Oxford OX1 2HB United Kingdom.
- If You exercise Your right to cancel during the Cancellation Period, the College will refund You as soon as possible and within 14 days of You telling the College You have changed Your mind. The College will refund You by the method You used for payment or by another payment method if You agree. The College does not charge a fee for the refund, however, You must pay for any services provided up to the time that You cancel.
- You agree that the College may begin the provision of services before the expiry of the Cancellation Period, and You acknowledge that, if the College does begin the provision of services before the end of that period, then:
- if the services are fully performed, You will lose the right to cancel referred to in Clause 2;
- if the services are partially performed at the time of cancellation, You must pay to the College an amount proportional to the services supplied or the College may deduct such amount from any refund due to You in accordance with this Clause 9.
- Your responsibilities
- You shall obtain and maintain adequate and valid travel insurance for the Participant (or, if You are the Participant, Yourself) which adequately covers all costs and consequences associated with medical treatment, repatriation, personal/public liability, personal accident, damage/theft/loss of personal belongings, visa denial, flight and Certificate Programme cancellations and changes, and legal expenses. It is a condition of applying for a Certificate Programme that You agree You will obtain adequate and valid travel insurance for the Participant (or, if You are the Participant, Yourself) as soon as You receive notice that the College accepts Your application for a Certificate Programme.
- You shall indemnify the College against any costs or claims arising out of any loss or damage to the Certificate Programme Premises and/or property of the College or any other person caused by the Participant or arising as a reasonably foreseeable consequence of the Participant’s actions.
- You will:
- provide, in a timely manner, such information as the College may reasonably require, and ensure that it is accurate and complete in all material respects;
- provide the College with details of the Participant’s travel insurance, if requested;
- You acknowledge that information required by the College under Clause 3(a) may include details of allergies, dietary requirements, medical information, disabilities, learning difficulties and other access requirements. Such information must be provided no later than two (2) months before the relevant Certificate Programme Start Date, or (if an application is made within two (2) months of the relevant Certificate Programme Start Date) at the point of application for such Certificate Programme.
- You will ensure that the Participant will (or if You are the Participant, then You will):
- comply with the Handbook, including all rules relating to behaviour towards other persons or property;
- not absent themselves from the Certificate Programme Premises during the Certificate Programme unless this is done in accordance with the Handbook;
- not do anything that may be liable (in the opinion of the College) to bring the College into disrepute;
- be responsible for the safekeeping of all room keys, access cards or other similar devices issued to the Participant (and You will pay the College a reasonable charge (as determined by the College in its sole discretion) in the event that such room key, access card, or other similar device needs to be replaced in the event of the loss or damage of the original);
- only use the Certificate Programme course materials for their personal use;
- comply with all medical, religious, disability, learning and other policies and procedures as set out in the Handbook and the College website, as amended from time to time;
- follow all instructions given to the Participant by or on behalf of the College with respect to security, health and safety regulations, and personal and public safety; and
- not affix or attach anything to or otherwise decorate the whole or any part of the Certificate Programme Premises or any other venues during the Certificate Programme.
- You warrant and represent to the College that:
- You are legally capable of entering into binding contracts;
- You have full authority, power and capacity to agree to these terms and conditions; and
- all the information that You provide to the College and the College in connection with Your application for Certificate Programmes is true, accurate, complete, current and non-misleading.
- You warrant and represent to the College that You will ensure that the Participant:
- will comply with all applicable laws (including immigration and criminal laws);
- meets all academic and English language proficiency requirements for the Certificate Programme(s) You have applied for, as specified by the College; and
- has read and agrees to be bound by the Handbook.
- You agree that You shall obtain all necessary visas, permissions and consents required for the Participant to attend the relevant Certificate Programme (Immigration Requirements) and You acknowledge that the College will not be required to refund any payments made following Your failure to meet the Immigration Requirements, save in accordance with the cancellation provisions set out in Clauses 8 and 9, and the College shall bear no liability for Your inability to participate in all or any part of the Certificate Programme as a consequence of Your failure to meet the Immigration Requirements.
- After acceptance of Your application for the Certificate Programme, the College will provide an invitation letter or other evidence of the Participant’s place on the Certificate Programme, if requested by You in writing for Immigration Requirement purposes.
- The College reserves the right:
- to refer any instances of the Participant’s poor behaviour to the appropriate authorities, security staff and/or the police.
- not to award or to rescind any Certificate of Attendance and Achievement and/or academic transcripts issued by the College where the Participant has, in the reasonable opinion of the College, breached these terms and conditions, or not attended at least 90% of the academic courses and seminars on the Certificate Programme.
- not to award or to rescind any Certificate of Attendance and Achievement and/or academic transcripts issued by the College where You have, in the reasonable opinion of the College, breached these terms and conditions or where monies owed to the College under the Programme Agreement are outstanding.
- Premises
- Unless otherwise arranged in advance with You, the College will provide suitable accommodation at the Certificate Programme Premises for the Participant for the duration of the Certificate Programme.
- The College cannot guarantee that specific accommodation requests will be met. You acknowledge and agree that the standard and type of accommodation within the buildings comprising the Certificate Programme Premises may vary and that the College may change the accommodation allocated to the Participant at any time before or during the Certificate Programme at its sole discretion.
- You acknowledge that the Certificate Programme Premises comprise of historic buildings which have not been designed with modern health and safety standards or digital communication methods in mind and some may not be accessible by those with mobility issues.
- You acknowledge and agree that the Participant may not have access to the internet at all times during the Certificate Programme. You also acknowledge and agree that if the Participant does have access to the internet that the speed and quality of that internet connection may be limited.
- You acknowledge and agree that the Certificate Programme Premises may pose health and safety risks and that You shall ensure that the Participant at all times bears in mind the potential risks that the Certificate Programme Premises pose and act accordingly to minimise such risks to the Participant and others.
- You will (or if You are not the Participant, You will ensure that the Participant will) keep Your accommodation tidy at all times during the Certificate Programme.
- Public health controls
- You agree that, if requested by the College to do so, the Participant will take a test (in such form as the College, in its sole discretion, shall determine) for any contagious disease (including COVID-19) upon arrival and/or periodically throughout the duration of the Certificate Programme.
- Should any test taken by the Participant under Clause 2 return a positive result then You acknowledge and agree that the College may refuse to allow the Participant to commence or take any further part in the Certificate Programme and may require the Participant to quarantine or self-isolate for such period of time as is recommended or mandated by the relevant authorities, either at the Certificate Programme Premises or at an alternative location. You agree to be liable for the reasonable associated costs of any such quarantine or self-isolation (including board and lodging) and You agree that You will not be entitled to a refund of the Registration Fee or Course Fees in the event that the Participant does not take part in any or all of the Certificate Programme as a result of this Clause 12.
- College warranties and representations
- The College warrants to You that any services it may supply to You and the Participant under these terms and conditions or in connection with a Certificate Programme will be supplied with reasonable care and skill.
- All of the College’s warranties and representations relating to Certificate Programmes are set out in these terms and conditions. To the maximum extent permitted by applicable law and subject to Clause 1, all other warranties and representations are expressly excluded.
- Limitations and exclusions of liability
- Nothing in these terms and conditions will:
- limit or exclude any liability for death or personal injury resulting from negligence;
- limit or exclude any liability for fraud or fraudulent misrepresentation;
- limit any liabilities in any way that is not permitted under applicable law; or
- exclude any liabilities that may not be excluded under applicable law,
and any statutory rights You may have as a consumer will not be excluded or limited by these terms and conditions, except to the extent permitted by law.
- The limitations and exclusions of liability set out in this Clause 14 and elsewhere in these terms and conditions:
- are subject to Clause 1; and
- govern all liabilities arising under these terms and conditions or relating to the subject matter of these terms and conditions, including liabilities arising in contract, in tort (including negligence) and for breach of statutory duty, except to the extent expressly provided otherwise in these terms and conditions.
- The College will not be liable to You in respect of any losses:
- arising out of any event or events beyond its reasonable control.
- which could have been avoided by You or the Participant taking reasonable action, including by following the College’s reasonable instructions; or
- which it could not have foreseen.
- The College will not be liable to You in respect of any business losses, including (without limitation) loss of or damage to profits, income, revenue, use, production, anticipated savings, business, contracts, commercial opportunities or goodwill.
- The College’s aggregate liability to You in respect of a Programme Agreement shall not exceed 150% of the total amount paid and payable to the College under the Programme Agreement.
- Intellectual Property
- You agree that You will (and You will ensure that the Participant will) not:
- use the Certificate Programme course material for any purpose other than the Participant’s personal use;
- not share the Certificate Programme course material with any other person or entity;
- republish Certificate Programme course material;
- sell, rent or sub-license Certificate Programme course material;
- show any Certificate Programme course material in public;
- exploit Certificate Programme course material for a commercial purpose; or
- redistribute Certificate Programme course material.
- Media
- You agree that You will (and You will ensure that the Participant will) not use the College’s name or branding (including any related domain names) nor any other Oxford college or University of Oxford name or branding (including any related domain names) in any material shared publicly.
- Unless You have opted out in advance of the Participant’s arrival for the Certificate Programme by emailing enquiries.cpc@worc.ox.ac.uk, You agree that the Participant may participate in the College’s promotional activities. Such activities may include, without limitation, photography, video and social media posts. You acknowledge that such activities may result in the publication of the Participant’s image and/or voice online or on print media.
- You agree that the College may use Your written feedback provided in any form on the Website and in any other literature. If you do not wish to be quoted, please inform the College when providing feedback.
- The Participant may make reasonable use of social media platforms during the Certificate Programme, provided that:
- they do so in accordance with the Programme Agreement and the Handbook, and with any applicable laws;
- they do not publish any material which is defamatory, offensive, obscene, or illegal;
- if the published material refers to, features, or includes the image of any other Participant, they have the permission of that Participant to publish it; and
- they comply with the terms of use of any social media platforms which they use, including any terms as to minimum age limits.
- The Participant shall remove or recall any material which has been published in breach of Clause 5 immediately upon being asked to do so by or on behalf of the College insofar as it is within the Participant’s power to do so.
- Data Protection
- The College will hold Your (and the Participant’s) personal data as a controller and use Your personal data as set out in its Privacy Notice: www.oxford-certificate-programmes.com/privacy_notice.
- Termination
- The College may at any time exclude the Participant from the Certificate Programme Premises and/or terminate the Programme Agreement immediately by giving written notice of termination to You if:
- You commit any breach of these terms and conditions or the Handbook and
- the breach is not remediable; or
- the breach is remediable, but You fail to remedy the breach within the period of 14 days following the College giving You written notice requiring the breach to be remedied (if the breach occurs prior to the Certificate Programme Start Date) or within 24 hours following the College giving You written notice requiring the breach to be remedied (if the breach occurs on or after the Certificate Programme Start Date); or
- the College deems the Participant’s behaviour or conduct to be unacceptable; or
- You have not paid the Course Fees or the Registration Fee in full at least 90 days before the relevant Certificate Programme Start Date (or if You have made a Booking for a Certificate Programme within 90 days of the Certificate Programme Start Date, You have not paid the Course Fees and Registration Fee upon making Your application).
- The rights of termination set out in the terms and conditions shall not exclude any rights of termination available at law.
- Consequences of termination
- Upon the termination of the Programme Agreement, all of the provisions of the Programme Agreement shall cease to have effect, save that the following provisions of these terms and conditions shall survive and continue to have effect (in accordance with their express terms or otherwise indefinitely): Clause 5 (Payment), Clause 9 (Distance contracts: cancellation right), Clauses 5(a), 10.5(d), 10.10(a), 10.10(b) (Your Responsibilities), Clause 14 (Limitation of Liability), Clause 16 (Media), Clause 18 (Termination), Clause 19 (Consequences of termination), Clause 23 (No waivers), Clause 24 (Severability), Clause 27 (Law and Jurisdiction) and Clause 29 (Complaints).
- If the College terminates the Programme Agreement under Clause 1 after the Participant has arrived at the Certificate Programme Premises, You acknowledge and agree that You will be responsible for organising for the Participant’s travel home or to their next destination and will permanently leave the Certificate Programme Premises as soon as reasonably practicable (and in any event within 24 hours of the time of Programme Agreement termination).
- If the College terminates the Programme Agreement and/or excludes the Participant from the Certificate Programme Premises under Clause 1, You acknowledge and agree that the College shall not be obliged to refund any sums paid by You, nor shall it be liable for any loss, damage or costs incurred by You (or, if applicable, the Participant) as a result of such termination or exclusion.
- Except to the extent expressly provided otherwise in these terms and conditions, the termination of the Programme Agreement shall not affect the accrued rights of either party.
- Force majeure
- If a Force Majeure Event gives rise to a failure or delay in the College performing any obligation under these terms and conditions, that obligation will be suspended for the duration of the Force Majeure Event.
- If the College becomes aware of a Force Majeure Event which gives rise to, or which is likely to give rise to, any failure or delay in the College performing any obligation under these terms and conditions, the College shall:
- promptly notify You; and
- inform You of the period for which it is estimated that such failure or delay will continue.
- If the performance of the College’s obligations under these terms and conditions is affected by a Force Majeure Event, the College shall take reasonable steps to mitigate the effects of the Force Majeure Event.
- Variation
- The College may revise these terms and conditions from time to time by publishing a new version on the Website.
- A revision of these terms and conditions will apply to contracts entered into at any time following the time of the revision, but will not affect contracts made before the time of the revision.
- Assignment
- You hereby agree that the College may assign, transfer, sub-contract or otherwise deal with its rights and/or obligations under these terms and conditions – providing that such action does not serve to reduce the guarantees benefiting You under these terms and conditions.
- You may not without our prior written consent assign, transfer, sub-contract or otherwise deal with any of Your rights and/or obligations under these terms and conditions.
- No waivers
- No breach of any provision of a contract under these terms and conditions will be waived except with the express written consent of the party not in breach.
- No waiver of any breach of any provision of a contract under these terms and conditions shall be construed as a further or continuing waiver of any other breach of that provision or any breach of any other provision of that contract.
- Severability
- If a provision of these terms and conditions is determined by any court or other competent authority to be unlawful and/or unenforceable, the other provisions will continue in effect.
- If any unlawful and/or unenforceable provision of these terms and conditions would be lawful or enforceable if part of it were deleted, that part will be deemed to be deleted, and the rest of the provision will continue in effect.
- Third party rights
- A Programme Agreement is for the College’s benefit and Your benefit, and is not intended to benefit or be enforceable by any third party.
- The exercise of the parties’ rights under a Programme Agreement is not subject to the consent of any third party.
- Entire agreement
- Subject to Clause 1, these terms and conditions, together with the Handbook and Your application for a Certificate Programme, shall constitute the entire agreement between You and the College in relation to the Certificate Programmes, and shall supersede all previous agreements between You and the College in relation to such Certificate Programmes.
- Law and jurisdiction
- These terms and conditions shall be governed by and construed in accordance with English law.
- Any disputes relating to these terms and conditions shall be subject to the exclusive jurisdiction of the courts of England.
- Statutory and regulatory disclosures
- The College will not file a copy of these terms and conditions specifically in relation to each user or customer and, if the College updates these terms and conditions, the version to which You originally agreed will no longer be available on the Website. The College recommends that You consider saving a copy of these terms and conditions for future reference.
- These terms and conditions are available in the English language only.
- Complaints
- The College will do its best to resolve any problems You have with the College or the Certificate Programmes as per the Complaints policy.

- Your contract for the provision of the Certificate Programmes (the Programme Agreement) is with Worcester College, University of Oxford, a charity, with registered charity number 1143479 and address at Walton Street, Oxford OX1 2HB.
- You can contact the College:
- by post, to the postal address given above;
- by telephone, on the contact number published on the Website; or
